2. Scope of Business & Customer Eligibility
2.1 Customer Categories
The Site supplies wholesale products and goods to the following customer categories:
🏭 Domestic Trading Companies
Chinese enterprises engaged in export trade
🛒 Domestic Cross-border E-commerce Sellers
Chinese sellers operating on Amazon, AliExpress, independent sites, and other cross-border platforms
🌏 International Trading Companies
Enterprises and merchants engaged in trade, wholesale, or retail outside mainland China
🤝 Overseas End Buyers
Retailers or group buyers in overseas markets
Core Commitment: All customers (both domestic and international) must commit that products purchased from the Site will ultimately be sold outside mainland China. By placing an order, every customer accepts and warrants that all purchased goods are intended exclusively for export to overseas markets and will not be retailed, distributed, or circulated within mainland China (excluding Hong Kong, Macau, and Taiwan).
2.2 Final Destination Commitment & Indemnification
Export Commitment: All customers must confirm and warrant at the time of purchase that all products procured from the Site will ultimately be sold outside mainland China. The Site acts as a product supplier and supports shipping logistics to overseas destinations.
Domestic Circulation Exemption: If a customer breaches the above commitment and engages in any domestic resale within mainland China — including online promotion, offline stocking, domestic retail, distribution, marketing, or private-domain selling — all resulting administrative violations, civil disputes, legal liabilities, regulatory penalties, compliance risks, and third-party claims shall be borne solely and entirely by the offending customer. The Site accepts no joint or ancillary liability.
Our Exemption & Rights: We bear no joint liability, compliance guarantee, compensation obligation, or ancillary responsibility for any legal consequences arising from a customer's unauthorized domestic resale. We reserve the right to immediately terminate supply, freeze the customer's account, and pursue full damages caused by the breach.
Overseas Compliance: We provide no compliance guarantees regarding customers' downstream markets or cross-border operations. Each customer is solely responsible for ensuring compliance with local laws, industry regulations, and import requirements of their destination market.
3. Product Supply & Limitation of Liability
3.1 Our Role as Supplier
The Site acts solely as a product supplier, providing goods in accordance with order specifications. We accept no liability for:
- How customers use, display, or market products in downstream markets;
- Any intellectual property disputes arising from customers' sales (including trademarks, patents, copyrights);
- Any quality complaints, consumer disputes, or claims arising during customers' resale or distribution;
- Customers' own tax obligations, customs duties, import permits, or other compliance requirements.
3.2 No Joint Liability
Disclaimer: As a product supplier, we bear no joint liability, indemnification, or warranty for any direct, indirect, incidental, special, or punitive damages (including but not limited to loss of profits, goodwill damage, third-party claims, or regulatory penalties) arising from customers' overseas sales or use of our products. Customers shall independently resolve any disputes with their downstream buyers or relevant rights holders. We do not participate in or intervene in such disputes.
4. Orders & Transactions
4.1 Order = Acceptance of Terms
By submitting an order on the Site, you confirm that you have read and agree to these Terms. Each order constitutes a separate supply contract between you and us.
4.2 Pricing & Delivery
- Prices displayed are supply prices (factory/wholesale) and do not include destination-country tariffs, shipping, or insurance;
- Delivery method, shipping costs, and timelines are subject to order confirmation;
- We reserve the right to modify displayed prices at any time; confirmed orders are unaffected.
4.3 Payment
- Payment methods and deadlines are subject to checkout terms or mutual agreement;
- We may cancel orders and release inventory if payment is not received within the agreed period;
- Exchange rate fluctuations affecting payment amounts are the customer's responsibility.
5. Intellectual Property
- All content on the Site — including product images, descriptions, logos, and interface design — is protected by intellectual property laws. Unauthorized reproduction or commercial use is prohibited;
- After purchase, the customer's right to resell or use products is governed by original manufacturer authorizations and destination-country laws. We grant no additional licenses or authorizations;
- Any intellectual property disputes arising from the customer's use of product branding, packaging, or images are the customer's sole responsibility.
6. Product Quality
6.1 Standards
Product quality is based on factory standards and the specifications agreed upon in the order.
6.2 Inspection
- Customers must complete inspection within 7 business days of receipt;
- Failure to raise a written objection within this period constitutes acceptance;
- We are not liable for quality issues arising from the customer's own logistics, storage, or resale processes.
6.3 Quality Disputes
Exclusions: The following are not covered by our quality warranty: (1) Damage caused by the customer's modification or processing of goods; (2) Damage during transit caused by the customer's designated logistics provider; (3) Damage caused by end-consumer misuse; (4) Compliance recalls triggered by destination-country laws. Costs for returns, replacements, repairs, or compensation under these circumstances are the customer's responsibility.
7. Privacy & Data
Our handling of your personal information is governed by our Privacy Policy. By using the Site, you agree to such policy.
8. Force Majeure
We are not liable for failure to fulfill orders caused by force majeure events, including but not limited to natural disasters, war, government actions, pandemics, strikes, logistics disruptions, or international trade controls. We will notify customers promptly and work toward a reasonable solution.
9. Dispute Resolution & Governing Law
- These Terms are governed by the laws of the People's Republic of China, excluding Hong Kong, Macau, and Taiwan;
- Disputes arising from these Terms or orders shall first be resolved through good-faith negotiation; unresolved disputes shall be submitted to the competent people's court at our location;
- For cross-border disputes involving overseas customers, international trade practices and any separately agreed arbitration clauses shall apply.
10. Changes to Terms
We reserve the right to modify these Terms at any time. Revised Terms will be posted on the Site and take effect upon posting. Your continued use of the Site or placement of orders after such changes constitutes acceptance of the revised Terms.
11. General Disclaimer
Comprehensive Disclaimer: To the fullest extent permitted by law, we accept no liability for: (1) Any direct, indirect, incidental, or punitive damages arising from use of or inability to use the Site; (2) The accuracy, completeness, or timeliness of content on the Site (including product descriptions, images, and prices); (3) Service interruptions or losses caused by third-party actions (including logistics providers and payment institutions); (4) Any commercial risks and losses resulting from the customer's own business decisions. Our maximum liability shall not exceed the actual product price paid by the customer for the specific order in question.
12. Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
